Terms of Service
1. Scope & Definitions
These Terms of Service ("Terms") govern the use of the Callrix platform ("Platform"), a white-label SaaS product operated by KCraft Studio LTD ("Callrix", "we", "us"), a company registered in Cyprus.
- "Licensee" refers to the business entity or individual that enters into a license agreement with Callrix to operate an advisor hotline under their own brand.
- "Platform" refers to the complete Callrix infrastructure including the backend, web application, mobile applications, admin dashboard, and all associated services.
- "End Users" refers to the customers and advisors who use the Licensee's branded platform.
By signing a license agreement or using the Platform, the Licensee agrees to be bound by these Terms.
2. License Grant
Callrix grants the Licensee a non-exclusive, non-transferable, revocable license to use the Platform under the Licensee's own brand and domain for the duration of the subscription period.
The license includes:
- Access to the full web platform with white-label branding
- Per-minute billing and prepaid wallet infrastructure
- Stripe Connect integration for advisor payouts
- Admin dashboard for platform management
- Native iOS and Android applications (Pro plan only)
- Technical setup and initial configuration by Callrix
The Licensee may not sublicense, resell, or redistribute the Platform technology itself. The Licensee may operate their branded hotline and charge their own End Users.
3. Account & Access
The Licensee is responsible for maintaining the confidentiality of their admin credentials and for all activity that occurs under their account. The Licensee must notify Callrix immediately of any unauthorized access.
Callrix reserves the right to suspend access if the Licensee violates these Terms or if there is a security concern.
4. Fees & Payment
- Subscription fee: The Licensee pays a monthly license fee as specified in their license agreement (starting at €799/month for Starter, €1,499/month for Pro).
- Setup fee: A one-time setup fee of €299 is due upon signing the license agreement.
- Currency: All fees are in EUR.
- Payment method: Payments are processed via Stripe. The Licensee must maintain a valid payment method on file.
- Billing cycle: Monthly, billed in advance on the anniversary of the subscription start date.
- Late payment: If payment fails, Callrix will attempt to charge the payment method again within 7 days. If payment remains outstanding for more than 14 days, Callrix may suspend access to the Platform. Callrix may charge interest of 1.5% per month on overdue amounts.
- No revenue share: Callrix does not take any percentage of the Licensee's revenue. The margin between End User payments and advisor payouts belongs entirely to the Licensee.
5. Term & Termination
The license begins on the date specified in the license agreement and continues on a month-to-month basis.
- Cancellation: Either party may terminate the license at any time with 30 days written notice to the end of the current billing period.
- Immediate termination: Callrix may terminate the license immediately if the Licensee materially breaches these Terms and fails to remedy the breach within 14 days of written notice.
- Effect of termination: Upon termination, Callrix will disable access to the Platform within 7 days after the final billing period. The Licensee may request a full data export (GDPR-compliant) within 30 days of termination. After 30 days, all Licensee data will be permanently deleted.
6. Licensee Obligations
The Licensee agrees to:
- Use the Platform only for lawful purposes and in compliance with all applicable laws and regulations in their jurisdiction.
- Ensure that their use of the Platform does not infringe upon the rights of any third party.
- Be solely responsible for the content, actions, and legal compliance of their End Users and advisors.
- Maintain their own terms of service and privacy policy for their End Users.
- Not attempt to reverse-engineer, decompile, or extract source code from the Platform.
- Not use the Platform for any activity that is illegal, fraudulent, or harmful.
- Comply with Stripe's terms of service for payment processing.
7. Intellectual Property
Callrix: The Platform, including all source code, architecture, design systems, and underlying technology, is and remains the exclusive intellectual property of KCraft Studio LTD. The license does not transfer any ownership rights.
Licensee: The Licensee retains all rights to their own brand, logo, domain name, content, and End User data. Callrix does not claim any ownership over the Licensee's brand or customer relationships.
8. Data Protection
Callrix processes personal data in accordance with the EU General Data Protection Regulation (GDPR) and applicable data protection laws.
- The Licensee acts as the data controller for their End Users' personal data.
- Callrix acts as the data processor on behalf of the Licensee.
- A Data Processing Agreement (DPA/AVV) in accordance with Article 28 GDPR is available upon request and forms part of these Terms once signed.
- The Platform is hosted on EU infrastructure (Hetzner, Germany).
- The Platform includes built-in GDPR functionality: data export, data deletion, and account anonymization for End Users.

9. Availability
Callrix aims to maintain high availability of the Platform but does not guarantee a specific uptime percentage. Scheduled maintenance will be communicated at least 48 hours in advance where possible. Callrix is not liable for downtime caused by third-party services (Stripe, LiveKit, Firebase, Hetzner), force majeure, or the Licensee's own infrastructure.
10. Limitation of Liability
- Callrix's total aggregate liability under these Terms shall not exceed the total fees paid by the Licensee in the 12 months preceding the claim.
- Callrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profit, data, or business opportunities.
- Callrix is not responsible for the Licensee's compliance with local laws, the actions of the Licensee's End Users, or the Licensee's business decisions.
- The Licensee is responsible for their own Stripe account, payment disputes, chargebacks, and advisor payout obligations.
11. Indemnification
The Licensee agrees to indemnify and hold harmless KCraft Studio LTD from any claims, damages, or expenses arising from the Licensee's use of the Platform, the Licensee's End Users, or any breach of these Terms by the Licensee.
12. Modifications
Callrix reserves the right to modify these Terms at any time. Changes will be communicated to the Licensee via email at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the modified Terms. If the Licensee does not agree to the changes, they may terminate the license before the changes take effect.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of Cyprus. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Cyprus.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
